Woody Studio Risk Disclaimer
The risks, limitations, and responsibilities that apply when you use Woody Studio to build, deploy, or operate a business platform. Read this in full before subscribing.
Woody Studio is a builder tool, not a regulated service of the platform you create.
You are the operator of any business platform you build with Studio. You are responsible for the legality, compliance, content, customer relationships, payments, and outcomes of that platform. Capital, customer data, and reputation are at risk if you misuse the tool.
What Woody Studio is
Woody Studio is a software subscription that gives you access to Woody, an AI assistant that helps you describe, generate, and operate business platforms across regulated and non regulated verticals. Studio provides the builder, hosting credits, deployment plumbing, and a billing layer. Studio does not provide your end customers, your legal entity, your regulatory permissions, your tax position, or any guarantee of commercial success for the platform you build.
1. AI generated output is not guaranteed
Woody and the underlying models can make mistakes. Generated copy, code, layouts, calculations, marketing claims, legal text, and configuration choices may be incorrect, out of date, biased, or unsuitable for your purpose. You must review every Woody output before publishing it. Treat Woody as a fast junior assistant whose work needs checking, not as an authoritative source. CurveBlock makes no warranty that any Woody output will be accurate, current, lawful in your jurisdiction, fit for any particular purpose, free from third party rights, or commercially successful.
2. You are the operator and the controller
The business platform you publish using Studio is your platform. You are the trader for consumer law purposes. You are the data controller for any personal data your end customers submit. You are the publisher of the content. You are the merchant of record for any payments unless you have integrated a separate payment processor that takes that role. CurveBlock acts as a software supplier and, where applicable, as a data processor on your behalf. CurveBlock is not a party to your relationship with your end customers.
3. Regulated verticals require your own permissions
Studio can scaffold platforms in financial services, lending, payments, crypto, gambling, insurance, healthcare, legal services, and other regulated areas. Scaffolding is not authorisation. If your business platform carries on a regulated activity in any jurisdiction, you must hold the relevant permissions yourself, or operate under the permissions of an authorised principal who has accepted you as an appointed representative. You are responsible for know your customer checks, anti money laundering controls, fitness and propriety standards, financial promotions rules, consumer duty obligations, and every other rule that applies to your activity. CurveBlock does not extend any of its own regulatory permissions to your platform.
4. Payments, custody, and merchant risk
If your platform takes payments, you are responsible for the contractual relationship with the payment processor, for chargebacks, refunds, fraud losses, reserve requirements, and tax. If your platform holds customer money or assets, you are responsible for safeguarding, segregation, and any client money rules that apply. Studio does not act as your payment institution, e money issuer, custodian, or escrow agent.
5. Hosting credits, usage limits, and overage
Each Studio subscription tier includes a monthly allowance of compute, storage, AI inference, and outbound traffic. Usage above the allowance is billed via metered top up credits at the rates published on the Studio plans page. CurveBlock may apply soft caps, queue limits, or temporary throttles if a single platform consumes resource at a rate that affects other tenants. Persistent abuse, denial of service style traffic, crypto mining workloads, and other prohibited use cases may trigger suspension.
6. Service availability is best efforts
Studio targets high availability but is provided on a best efforts basis. There is no service level agreement guarantee unless one is separately signed in writing. Planned maintenance, model provider outages, third party API outages, and force majeure events can all cause downtime. You should architect any mission critical workflow with appropriate fallbacks and you should keep your own backups of any data you cannot afford to lose.
7. Intellectual property and third party content
You retain ownership of the content you create, the customer data you collect, and the trade name of the platform you operate. You grant CurveBlock the limited licence needed to host, render, and operate your platform on the Studio infrastructure. Woody may suggest content that resembles material from its training data. You are responsible for ensuring your published platform does not infringe the intellectual property, trademark, image, or personality rights of any third party. CurveBlock will respond to good faith infringement notices and may remove material accordingly.
8. Prohibited use
You may not use Studio to build or operate platforms that promote unlawful activity, child sexual abuse material, terrorism, incitement to violence, the sale of controlled goods in jurisdictions where the sale is unlawful, fraud against consumers, market manipulation, or unauthorised regulated activity. You may not use Studio to scrape personal data without lawful basis, to send unsolicited bulk communications in breach of marketing law, or to circumvent the access controls of third party services. Breach of this clause is grounds for immediate suspension and removal of your platforms with no refund.
9. Suspension and removal
CurveBlock may suspend, throttle, or remove a Studio account or a hosted platform where there is a credible report of unlawful activity, where payment for the subscription has failed and remained unpaid through the grace period, where prohibited use has been identified, where a regulator or court order requires it, or where continued operation poses a security or stability risk to other tenants. You will be given notice and a reasonable opportunity to remedy where the circumstances allow. In serious cases, suspension may be immediate.
10. No financial, legal, tax, or professional advice
Nothing produced by Woody and nothing said in the Studio user interface, marketing pages, help chat, or documentation constitutes financial advice, legal advice, tax advice, accounting advice, or professional advice of any kind. If your business platform requires advice, take it from a qualified professional in your jurisdiction.
11. Liability
To the maximum extent permitted by law, CurveBlock's total liability to you for any claim arising out of or in connection with Studio is capped at the amount you have paid to CurveBlock for Studio in the twelve months preceding the event giving rise to the claim. CurveBlock is not liable for indirect, consequential, or special losses, lost profits, lost revenue, lost goodwill, lost data, or business interruption. Nothing in this clause limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence or for fraud.
12. Woody Studio is separate from CurveBlock platform digital shares
Woody Studio is a software subscription. It is not an investment, not a security, and not a financial product. A Studio subscription does not give you any digital share, any equity interest, any profit entitlement, or any other economic right in CurveBlock Ltd or in any CurveBlock managed Special Purpose Vehicle. The investment side of CurveBlock is governed separately by the Risk Warning and the Platform Share Terms and Investor Disclosures.
13. Changes
CurveBlock may update this risk disclaimer from time to time as Studio evolves and as the surrounding law evolves. Material changes will be notified through the Studio dashboard and by email to the registered subscriber address. Continued use of Studio after the effective date of a change constitutes acceptance of the updated disclaimer.
